These Terms of Service ("Terms") govern your use of the Prestige Event Group website at venuara.com and related services. By accessing or using our website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Note: This document provides a good-faith overview of our terms. We recommend professional legal review before relying on it as formal legal advice. A qualified attorney should review these terms before Phase 2 launch.

1. Service Description

Prestige Event Group provides an online platform for exploring event venues, submitting inquiries, scheduling venue tours, and communicating with our event coordination team. Our website serves as a marketing and lead generation tool for our venue services located in San Antonio, Texas.

The information presented on this website, including pricing, availability, and venue features, is for informational purposes and may change without notice. Final terms of any event booking are subject to a separate written agreement.

2. User Responsibilities

When using our services, you agree to:

  • Provide accurate and truthful information in all forms and communications
  • Use the website only for lawful purposes related to event planning and venue inquiries
  • Not attempt to interfere with the website's functionality or security
  • Not submit spam, false inquiries, or misleading information
  • Respect the intellectual property rights of Prestige Event Group and third parties

3. Bookings & Payments

Submitting an inquiry or completing the questionnaire on our website does not constitute a booking or reservation. Event bookings are confirmed only through a separate written agreement between you and Prestige Event Group.

3.1 Pricing

Any pricing information displayed on the website is provided as a general estimate and may vary based on event specifics, seasonality, and available packages. Final pricing will be provided in your personalized quote or booking agreement.

3.2 Payment Terms

Payment terms, including deposit requirements, payment schedules, and accepted payment methods, will be outlined in your individual booking agreement. Online payment processing is facilitated through Stripe and is subject to Stripe's terms of service.

3.3 Cancellations & Refunds

Cancellation and refund policies are specified in each individual booking agreement. We encourage you to review these terms carefully before confirming your reservation.

Specific cancellation and refund terms are governed by the individual venue contracts and deposit policies agreed upon at the time of booking. PayGala platform fees, including processing and service fees, are non-refundable regardless of event cancellation or modification.

4. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not guarantee that our website will be uninterrupted, secure, or error-free
  • Prestige Event Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use our services
  • Our total liability for any claim related to our services shall not exceed the amount you paid to us, if any, in the 12 months preceding the claim

5. Intellectual Property

All content on this website, including but not limited to text, images, logos, graphics, design elements, and software, is the property of Prestige Event Group or its licensors and is protected by applicable intellectual property laws.

You may not:

  • Reproduce, distribute, or create derivative works from our website content without our written permission
  • Use our trademarks, logos, or brand elements without authorization
  • Scrape, crawl, or use automated tools to extract content from our website

6. Third-Party Services

Our website may contain links to or integrations with third-party services. These services have their own terms and privacy policies that are independent of ours. We are not responsible for the content, practices, or availability of third-party services.

7. Indemnification

You agree to indemnify, defend, and hold harmless Prestige Event Group, PayGala, their parent companies, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of our services or platform
  • Any content you submit, post, or transmit through our services
  • Your violation of these Terms of Service
  • Your violation or infringement of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Any dispute between you and a venue, vendor, or other third party arising from services facilitated through the platform

8. Account Termination

PayGala reserves the right to suspend or terminate your account and access to our services at any time, with or without notice, for any of the following reasons:

  • Violation of these Terms of Service or any applicable policies
  • Non-payment of fees or outstanding balances
  • Engagement in illegal, fraudulent, or abusive activity
  • Account inactivity exceeding twelve (12) consecutive months
  • Any conduct that PayGala, in its sole discretion, deems harmful to other users, third parties, or the platform itself

You may terminate your account at any time by contacting our support team at support@venuara.com. Upon termination, your right to access the platform ceases immediately. Handling and retention of your data following account termination shall be governed by our Privacy Policy. Any outstanding payment obligations survive account termination.

9. Cancellation & Refund Policy

Specific cancellation and refund terms for event bookings are governed by the individual venue contracts and deposit policies agreed upon between you and the venue at the time of booking. PayGala acts as a platform facilitator and does not set individual venue cancellation policies.

PayGala platform fees, including but not limited to processing fees, service fees, and technology fees, are non-refundable once charged, regardless of event cancellation, modification, or rescheduling. Please review your venue contract and deposit policy carefully before confirming your reservation.

10. Service Modifications

PayGala reserves the right to modify, suspend, or discontinue any aspect of our services at any time. For material changes that affect your use of the platform:

  • We will provide at least thirty (30) days' advance notice via email to your registered account address
  • Continued use of our services after the effective date of changes constitutes your acceptance of the modified terms
  • Material changes that substantially affect your rights or obligations will require your explicit consent before taking effect
  • If you do not agree with the modifications, you may terminate your account before the changes take effect

11. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from circumstances beyond the reasonable control of that party, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, fires)
  • Pandemics, epidemics, or public health emergencies
  • Government actions, orders, legislation, or sanctions
  • Wars, terrorism, civil unrest, or armed conflict
  • Utility failures, internet outages, or telecommunications disruptions
  • Labor disputes, strikes, or supply chain disruptions
  • Any other events beyond reasonable control of the affected party

The affected party must promptly notify the other party of the force majeure event and take all reasonable steps to mitigate its impact. If a force majeure event continues for more than ninety (90) days, either party may terminate the affected obligations upon written notice.

12. Dispute Resolution & Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Arbitration shall take place in Bexar County, Texas, unless otherwise agreed by both parties
  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
  • Each party shall bear its own costs and attorney's fees related to the arbitration, unless the arbitrator determines otherwise
  • The arbitration shall be conducted on an individual basis only. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration

Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least thirty (30) days. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Bexar County, Texas.
